Legal agreement

Terms and Conditions of Service

These terms govern managed IT service delivery by NEX INFRA TECH LLC. They set out service availability, network access conditions, client credential responsibilities, and the limits of our operational liability.

1. Service Availability

We provide 24/7 network operations monitoring and responsive helpdesk support. Monitoring and response targets are described in each client's service agreement. No provider can guarantee uninterrupted operation, and we do not warrant zero downtime.

2. Network Access Conditions

Remote and on-site access to client systems is granted solely for the scope defined in the agreement. Clients must maintain accurate asset inventories and provide the physical and network access our engineers need to perform monitoring, patching, and maintenance.

3. Credential Management

Clients are responsible for safeguarding administrator credentials issued or shared during onboarding. Credentials must be rotated when personnel change, and access must be revoked promptly when an account holder leaves the organization.

4. Authorized Administrative Requests

We act only on administrative changes submitted by authorized client contacts named in the service agreement. Requests received through unverified channels may be held until identity and authority are confirmed.

5. Limitation of Liability

To the fullest extent permitted by law, our aggregate liability for any claim is limited to the fees paid for the affected service period. We are not liable for indirect, incidental, or consequential losses, including lost revenue or data loss arising from client-side changes.

6. Service Modifications and Renewal

We may update service scope or tooling with reasonable written notice. Agreements renew automatically for successive terms unless either party gives written notice of termination within the period stated in the agreement.

7. Governing Law

These terms are governed by the laws of the state in which NEX INFRA TECH LLC is organized, without regard to conflict-of-law principles. Questions about these terms may be directed to the contact details listed on our Contact page.
